Terms of Service

1 Acceptance of Terms

These Terms form a binding agreement between you and Vivirion. By using the Platform, you represent that you have legal authority to accept these Terms. If acting on behalf of an organization, you confirm authority to bind that entity. Continued use after updates constitutes acceptance of revised Terms.

2 Eligibility

You must be at least 18 years old to use the Platform independently. Minors aged 13–17 may use the Platform only with verifiable parental/legal guardian consent where permitted.

Vivirion reserves the right to verify your identity, credentials, and eligibility and may suspend or terminate accounts that do not comply.

3 Services Overview

Vivirion operates a digital healthcare marketplace and education ecosystem:

• Vi-Connect: Facilitates introductions between Clients and independent Service Providers. Vivirion does not provide medical care.
• Vi-Learn: Offers peer-reviewed courses, certifications, and professional development.
• Vi-Health: Provides digital tools for wellness, monitoring, and care coordination.
• Vi-Nav: Provides resources and guidance for navigating healthcare systems.

Vivirion is strictly a technology platform. Unless explicitly stated in a separate written agreement, we are not a healthcare provider, employer, insurer, or staffing agency.

4 Independent Contractor Status

All Service Providers are independent contractors, not employees, agents, or partners of Vivirion.

Vivirion does not supervise, control, or assume responsibility for service delivery, scheduling, payment disputes, or professional conduct. All agreements are directly between Clients and Service Providers.

5 No Medical Advice / No Endorsement

Platform content is informational only. Any advice or services provided by Service Providers are based on their professional judgment and experience and are not endorsed, reviewed, or supervised by Vivirion.

Vivirion does not establish a provider–patient relationship. In emergencies, call 911 or your local emergency number.

6 Payments & Limited Intermediary Role

Payment terms are solely between Clients and Service Providers.

If Vivirion facilitates payments, it acts only as a convenience intermediary. We do not guarantee payment, service quality, or outcomes, and we are not legally liable for services provided.

Users assume all financial and tax responsibilities associated with payments.

7 Background Checks & Verification

Vivirion may provide credential verification, identity checks, license confirmation, or background screenings via third-party vendors.

We do not guarantee accuracy or completeness. Background checks may not capture all relevant records. Verification badges do not constitute endorsements or guarantees. Users are responsible for independent due diligence.

8 Insurance Disclaimer

Vivirion does not provide liability, malpractice, workers' compensation, or general insurance coverage for Service Providers or Clients unless explicitly stated in a separate agreement.

Service Providers are responsible for maintaining appropriate coverage. Clients are responsible for ensuring risk mitigation in their facilities or homes. Vivirion does not guarantee coverage.

9 Non-Circumvention

Clients and Service Providers may not circumvent the Platform to avoid fees for 12 months following an introduction unless agreed in writing.

Violations may result in suspension, termination, fee recovery, liquidated damages, and legal action.

10 Enterprise Clients

Enterprise Clients (organizations, institutions, corporations) may enter additional agreements governing subscriptions, compliance, data, and payments.

Enterprise Clients are responsible for employee or contractor compliance, tax obligations, and regulatory requirements. Vivirion does not assume employer responsibilities unless explicitly stated in writing.

11 User Conduct

Users agree not to:

• Provide false or misleading information
• Misrepresent credentials or qualifications
• Harass, discriminate, or harm others
• Upload malicious software or interfere with Platform security
• Use the Platform for unlawful purposes

Vivirion may remove content, suspend accounts, or pursue legal remedies at its discretion.

12 Intellectual Property

All Platform content, software, text, graphics, and materials are owned by Vivirion or its licensors. Unauthorized use, copying, or distribution is prohibited.

13 Data Privacy & Security

Use of the Platform is governed by our Privacy Policy. Where applicable, Vivirion complies with HIPAA (U.S.) and PHIPA (Ontario).

We implement reasonable security safeguards but cannot guarantee absolute security. Users assume internet-related risks.

14 Disclaimer of Warranties

15 Limitation of Liability

To the fullest extent permitted by law, Vivirion is not liable for indirect, incidental, special, consequential, or punitive damages.

Total aggregate liability is limited to the greater of $1 USD (or CAD equivalent) or the amount you paid to Vivirion in the prior 12 months.

16 Indemnification

You agree to indemnify, defend, and hold harmless Vivirion, its affiliates, officers, directors, and agents from claims, damages, losses, or expenses (including attorneys' fees) arising from:

• Your use or misuse of the Platform
• Breach of these Terms
• Violation of law
• Professional services or conduct
• Disputes with other users

Vivirion may assume exclusive defense at its discretion.

17 Release of Claims

Users release Vivirion from claims arising from disputes with other users, including payment, service quality, professional conduct, or outcomes.

Users assume all risks when engaging independent Service Providers.

18 Arbitration & Class Action Waiver

All disputes shall be resolved by final and binding arbitration on an individual basis.

Users waive rights to class actions, collective proceedings, or jury trials. Arbitration for U.S. users is governed by the Federal Arbitration Act.

19 Governing Law

• U.S. Users: Federal law and Delaware law govern.
• Canadian Users: Ontario and Canadian law govern.

20 Termination

Vivirion may suspend or terminate accounts at any time for violations, non-compliance, or risk mitigation.

21 Severability

If any provision is unenforceable, remaining provisions remain fully in effect.

22 Entire Agreement

These Terms, along with the Privacy Policy and related policies, constitute the entire agreement between you and Vivirion.
